Terms of service
These terms are the agreement between your business and CoDreams Inc. for our website and AI subscription. By signing up or using the service, you agree to them on behalf of your business. If anything here is unclear, email hello@codreams.ca before you sign up.
1. Who we are
The service is provided by CoDreams Inc., a Canadian federal corporation registered to do business in Ontario (business number 782291165), doing business as CoDreams. "We" and "us" mean CoDreams Inc. "You" means the business that subscribes.
2. The service
We build and host a website for your restaurant and provide the tools included in your plan, such as online ordering, reservations, a customer list and email, an AI chat assistant, an AI phone receptionist and editing your site by text message. What is included depends on the plan you choose. We may improve or change features over time; we will not remove a core feature of your plan without telling you first.
3. Subscription, trial and billing
- Plans are billed monthly, in advance, in Canadian dollars, through Stripe. Applicable sales taxes are added on top.
- Free trial. New restaurants start with a 7-day free trial. When the trial ends, your plan's monthly price is charged automatically unless you cancel before then.
- Cancel anytime. Cancel by email or from your billing link. Cancellation takes effect at the end of the month you have already paid for, and you will not be charged again. We do not refund partial months.
- If a payment fails, we will let you know. If it is still unpaid after a reasonable time, we may pause the service until it is paid.
- We may change prices with at least 30 days' notice by email. The new price applies from your next billing date after the notice period, and you can cancel before then.
4. Your account
Keep your sign-in email and phone secure. You are responsible for what happens under your account, including changes made by people you give access to. Tell us right away if you think someone has accessed your account without permission.
5. Your content
You own your content: your name, logo, photos, menu, prices, text and your customer list. You give us permission to host, copy, display, adapt and process it only as needed to provide the service to you, for example to resize photos, translate text or have the AI assistant answer guests from it.
You confirm you have the right to use everything you give us, including photos and logos. Content the AI drafts for you (such as menu descriptions or images) is yours to use once you publish it, and it is your responsibility to review it first.
6. Hosting, cancellation and deletion
We host your site and data while your subscription is active. When it ends, we take your site offline. We delete your content and your customer data when you ask us to, and we will send you a copy of your content and customer list first if you ask. We may keep records we are required to keep by law (such as billing records), and backups that expire on their normal schedule.
7. Acceptable use
You agree not to use the service to:
- break any law, including privacy, consumer protection, food labelling and anti-spam laws;
- send marketing email or text messages to people who have not consented to receive them;
- publish content that is false, misleading, infringing, hateful or harmful;
- impersonate another business or person;
- try to break, overload, probe or get around the security of the service or other customers' sites;
- resell or rent the service to others without our written agreement.
We may remove content or suspend the service if it is used in these ways.
8. AI features can make mistakes
Our chat assistant, phone receptionist, owner agent and menu tools use artificial intelligence. AI can misunderstand people, give wrong answers or produce inaccurate text. These tools work from the information you give them and the settings you choose.
You are responsible for the accuracy of your menu, ingredients, allergen information, prices, hours and policies, and for reviewing what the AI publishes or tells guests on your behalf. Guests are told to confirm allergies directly with you. Check reservations and orders taken by AI the same way you would check any other request.
9. Your guests and their information
Your guests are your customers. You decide how their information is used, and you are responsible for your obligations to them, including having consent before you send marketing messages. We process guest information on your behalf as your service provider, as described in our privacy policy, and we do not use it for our own marketing.
10. Guest payments
If you take payments online, they go to your own Stripe account, under Stripe's terms between you and Stripe. We are not a party to your sales, and refunds, chargebacks and disputes with your guests are yours to handle. Stripe's fees apply.
11. Third-party services
The service relies on providers such as hosting, payment, messaging and AI companies (listed in our privacy policy) and may link to services like Google, Uber Eats or OpenTable. We are not responsible for those services, and their own terms apply to your use of them.
12. Availability and changes
We work to keep the service running and secure, but we do not promise it will be uninterrupted or error-free. We may need to do maintenance, and our providers can have outages.
13. Disclaimer
Apart from what these terms say, and to the extent the law allows, the service is provided "as is", without other promises, including any promise of a particular number of orders, reservations, calls or search rankings.
14. Limitation of liability
To the extent the law allows:
- we are not liable for indirect or consequential losses, such as lost profits, lost revenue, lost data or harm to reputation;
- our total liability for all claims relating to the service is limited to the fees you paid us in the 12 months before the event that gave rise to the claim.
Nothing in these terms limits liability that cannot be limited by law.
15. Your responsibility to us
If someone makes a claim against us because of your content, your menu or allergen information, how you treat your guests, or your breach of these terms, you agree to cover our reasonable costs of that claim.
16. Ending the agreement
You can cancel at any time as described above. We can end or suspend the service if you seriously breach these terms, do not pay, or use the service in a way that puts others at risk. Except in urgent cases, we will give you notice and a chance to fix the problem first.
17. Changes to these terms
We may update these terms. We will move the date at the top, and for significant changes we will email you at least 30 days before they take effect. If you keep using the service after that, the new terms apply.
18. Governing law
These terms are governed by the laws of Ontario and the federal laws of Canada that apply there. Any dispute will be heard by the courts of Ontario, in Toronto.
